Terms of Service

1. Agreement to Terms

By accessing or using PruShip's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Use License

Subject to your compliance with these Terms, PruShip grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the services for your internal business purposes
• Access and use any documentation we provide in connection with the services

This license shall automatically terminate if you violate any of these restrictions and may be terminated by PruShip at any time.

3. Service Subscription

Subscription Plans: PruShip offers various subscription plans (Basic, Enterprise, Unlimited) with different features and pricing. Your subscription determines your access level and features.

Payment Terms: Subscription fees are paid monthly in USD per user. Some modules may have usage-based charges. Payment is due at the beginning of each billing cycle.

Setup Fee: A one-time setup fee may apply for Basic Plan users. This fee becomes refundable after one year of continuous subscription. Enterprise and Unlimited plans do not incur setup fees.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify PruShip of any unauthorized use of your account or any other breach of security.

5. Acceptable Use

You agree not to:

• Use the services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the services
• Interfere with or disrupt the integrity or performance of the services
• Use the services to transmit any viruses, malware, or harmful code
• Reverse engineer, decompile, or disassemble any portion of the services
• Remove or modify any proprietary notices or labels

6. Data Ownership and Usage

You retain all rights to your data. PruShip does not claim ownership of any content you submit or upload to the services. We only use your data to provide, maintain, and improve our services. You grant us permission to host, backup, and manage your data as necessary to deliver our services.

7. Service Availability

While we strive for 99.9% uptime, PruShip does not guarantee uninterrupted access to the services. We may need to perform maintenance, updates, or emergency repairs which may temporarily affect service availability. Enterprise and Unlimited plans come with Service Level Agreements (SLAs) specifying our uptime commitments.

8. Termination

Either party may terminate this agreement with 30 days' notice unless otherwise specified in a long-term contract. Upon termination, your access to the services will cease, and we will provide you with the opportunity to export your data within 30 days. PruShip may terminate your access immediately if you breach these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, PruShip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

10. Modifications to Service

PruShip reserves the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. We will provide reasonable notice of material changes that negatively impact your use of the services.

11. Intellectual Property

The services and all associated intellectual property rights remain the property of PruShip. Unlimited plan subscribers may receive source code licenses as specified in their agreement.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
